Licence Agreement

The short version: you pay once and your shop can use Minuteman Shop Control at one location, on up to two computers, for as long as you want. It runs on your computer and your data stays there. Don't share the key or the installer. The program comes as it is, and if something goes wrong the most we owe you is what you paid. This is the end user licence agreement (EULA) the installer asks you to accept.
1. Who this agreement is between
This agreement is between Minuteman Systems LLC, a Pennsylvania limited liability company (“Minuteman,” “we,” “us”), and the business that buys, installs or uses Minuteman Shop Control (the “Software”) (“you,” “your shop”). You accept it by clicking “I accept” in the installer, by completing a purchase, or by using the Software. The person who accepts confirms they are allowed to accept it for the business. If you do not agree, do not install or use the Software.
2. What you get
When your purchase is complete and your licence key is issued, we grant you a perpetual, non-exclusive, non-transferable licence to install and use the Software for the internal business of one shop at one physical location, on up to two computers at that location. Other computers, tablets and phones at the same location that open the board in a web browser over your shop's own network do not count against the two. Each additional location needs its own licence. The licence has no end date and no recurring fee.
3. How the licence check works
When you enter your key, and about once a week after that, the Software contacts our licence server to count the computers the key is on. It sends the licence id, a scrambled machine identifier and the program version — nothing about your jobs, your cars or your people (see the Privacy Policy). If the key turns up on more than two computers, the Software shows a notice. If it is still on more than two after 14 days, the Software runs in Demo mode on those computers until it is sorted out. Your data is never touched. Replacing a computer is one email to support@minutemanshopcontrol.com and we clear the old one. If the licence server cannot be reached, the Software keeps working normally — a shop with no internet is a normal shop. The same check is how a key is switched off in the narrow cases in section 15.
4. Demo mode
Without a key, the Software runs in Demo mode: every tab works on sample estimates, it is clearly marked DEMO, and it cannot be pointed at your real estimates. Demo mode is free and is there so you can try everything before you buy. Demo mode is for trying the Software, not for running a shop.
5. What you may not do
- Share, sell, rent, lend, give away, post or forward your licence key or the installer to anyone outside your shop.
- Use one licence at more than one location, or on more than two computers.
- Change, bypass, disable or work around the licence check, the two-computer count or Demo mode.
- Reverse engineer, decompile or disassemble the Software, or copy any part of its code into another program, except where the law allows it no matter what this agreement says.
- Remove or change the “Licensed to” name, or any notice of ownership, in the Software or anything it prints.
- Use the Software, or anything learned from its code, to build a competing product.
Parts of the Software's code can be read on your computer. That is so you can see what it does. Reading it is fine; changing it, copying it or getting around the licence is not.
6. Who owns the Software
The Software is licensed to you, not sold. Minuteman Systems LLC owns the Software and every copy of it, including the copies you install, and keeps every right this agreement does not expressly give you. If you send us ideas or feedback, we may use them without owing you anything.
7. Your data is yours
Everything you put into the Software — repair orders, estimates, technicians, parts, schedules, backups — is stored on your computer, in a folder you control. It is your data. We do not collect it and we cannot see it. The Privacy Policy lists the only things the Software ever sends to us.
8. Backups, and if something goes wrong
The Software protects your data with backups: it makes a checked copy of its database automatically every day, keeps the last 30, and can make one whenever you ask. By default those backups sit on the same computer, so keep a copy somewhere else as well — another drive, a network share or a USB stick. If your data is ever lost or damaged, contact us and we will help in any way we can to get you back up and running. Backups are how you recover; they do not change sections 13 and 14.
9. Updates
We may publish updates. We are not required to, and we do not promise any particular update, feature, or how long updates will continue. Installing an update is your choice; the version you have keeps running if you never update. An update may come with a new version of this agreement, which the installer shows you; installing the update means you accept that version.
10. Support
Support is by email at support@minutemanshopcontrol.com, on a best-effort basis. We do not promise a response time, and we do not promise that every problem can be fixed.
11. What the Software is not
The Software is a production board. It is not an estimating system, an accounting or bookkeeping system, a payroll or tax system, or an insurance-claims system. The figures it shows come from your estimates and your own entries; you are responsible for checking them before you rely on them for pay, invoicing or any business decision.
The Software reads the EMS export files that CCC ONE® writes to a folder on your computer. It does not connect to or sync with CCC ONE. CCC can change its export format at any time, and we do not promise that the Software will read every past or future CCC ONE export. You are responsible for having a CCC ONE licence with EMS export turned on, and a Windows computer that meets the stated requirements. CCC ONE is a trademark of CCC Intelligent Solutions Inc., which is not affiliated with Minuteman Systems LLC.
12. Business use only
The Software is made for businesses to use in running a repair shop. It is not sold to consumers for personal, family or household use. By accepting this agreement you confirm you are acquiring the Software for your business.
13. No warranty
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT THE LAW ALLOWS, MINUTEMAN SYSTEMS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH ANY OTHER PROGRAM OR FILE FORMAT.
14. Limit of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, MINUTEMAN SYSTEMS LLC'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT IS LIMITED TO THE AMOUNT YOU PAID FOR YOUR LICENCE. MINUTEMAN SYSTEMS LLC IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, OR LOST OR DAMAGED DATA, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. Some places do not allow some of these limits; where that is so, they apply as far as the law allows.
15. If the licence ends, and when a key is switched off
Your licence continues indefinitely. It ends only in these cases:
- Your payment comes back to you. If a purchase is refunded, by us or by Paddle, or is disputed with your bank (a chargeback), the licence ends on that day. You cannot keep the Software and the money.
- Your key or installer is being used outside your shop. If we can show that, and you do not put it right within 30 days of our written notice, the licence ends.
- Any other material breach of this agreement that you do not fix within 30 days of our written notice.
When a licence ends, we may switch the key off. The Software then shows a notice at its next check, and runs in Demo mode 14 days after that, until a valid key is entered. Your data is never touched, never deleted and stays yours, and you must stop using the Software and uninstall it. We do not switch off a key for any other reason, and never on a shop that paid and kept its licence.
16. Payment and refunds
Purchases are processed by our merchant of record, Paddle.com Market Ltd (“Paddle”), and Paddle's Buyer Terms apply to the payment. All sales are final, as explained in our Refund Policy.
17. Governing law and where disputes go
This agreement is governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict-of-law rules. Any dispute will be brought only in the state courts of the Pennsylvania county where Minuteman Systems LLC has its registered office, or in the United States District Court for the district that includes that county, and you consent to those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
18. The rest of the fine print
If any part of this agreement is found unenforceable, that part is changed only as much as needed to make it enforceable (or removed), and the rest stays in force. If we do not enforce something right away, we have not given it up. This agreement, together with our Terms of Service, Privacy Policy and Refund Policy, is the whole agreement between us about the Software. You may not transfer this agreement or your licence without our written permission.
19. Changes to this agreement
We may update this agreement. The date and version at the top tell you when it last changed. A new version applies to purchases made, and updates installed, after that date. It never takes away a licence you already paid for.
